Collectively referred to as the "Parties."

WHEREAS, Podcast Host operates and produces the Powerful Movements Podcast, and Collaborator desires to collaborate with Podcast Host for the purposes of [brief description of collaboration]________________________________________________________________________

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

  • Collaboration Description: The Parties agree to collaborate on the Powerful Movements Podcast episode(s) specifically designated for the collaboration. The nature and scope of the collaboration shall be as mutually agreed upon in writing or via email correspondence between the Parties.

Roles and Responsibilities:

a. Podcast Host: The Podcast Host shall be responsible for the production, editing, and distribution of the podcast episode(s) featuring the collaboration. Additionally, the Podcast Host shall ensure that all necessary technical requirements for the collaboration are met.

  • b. Collaborator: The Collaborator shall provide the agreed-upon content or contribution for the podcast episode(s) within the specified timeline. Collaborator shall cooperate with Podcast Host in scheduling any interviews, providing necessary materials, and promoting the episode(s) as agreed upon.

Intellectual Property:

a. Podcast Content: All podcast episodes produced under this Agreement, including but not limited to audio recordings, show notes, and promotional materials, shall be the exclusive property of the Podcast Host.

  • b. Collaborator Content: Collaborator retains all rights to any content provided by them for the collaboration, subject to the license granted to Podcast Host under Section 4.

License Grant:

a. Collaborator hereby grants Podcast Host a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and publicly display any content provided by Collaborator for the purpose of producing and promoting the podcast episode(s).

  • b. This license shall include the right to edit, modify, or adapt the Collaborator's content as necessary for the production and promotion of the podcast episode(s).

  • Confidentiality: The Parties agree to keep confidential any proprietary or sensitive information shared between them in connection with this collaboration. This includes, but is not limited to, unpublished podcast episode details, personal contact information, and any other confidential information disclosed during the collaboration.

  • Compensation: Any compensation or benefits to be provided to Collaborator in connection with this collaboration shall be as mutually agreed upon in writing or via email correspondence between the Parties prior to the commencement of the collaboration.

Term and Termination:

a. This Agreement shall commence on the effective date set forth above and shall continue until the completion of the collaboration, unless terminated earlier as provided herein.

  • b. Either Party may terminate this Agreement upon written notice to the other Party in the event of a material breach of any provision of this Agreement by the other Party, if such breach remains uncured for a period of [number_______] days following written notice of the breach.
